We strive to maintain 99.9% uptime for our Service, excluding scheduled maintenance and circumstances beyond our reasonable control.

9. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, REGSECURED SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING BUT NOT LIMITED TO LOSS OF PROFITS, DATA, OR USE, ARISING OUT OF OR RELATING TO THESE TERMS OR THE SERVICE.

OUR TOTAL LIABILITY FOR ANY CLAIMS ARISING OUT OF OR RELATING TO THESE TERMS OR THE SERVICE SHALL NOT EXCEED THE AMOUNT PAID BY YOU FOR THE SERVICE IN THE TWELVE MONTHS PRECEDING THE CLAIM.

10. Indemnification

You agree to indemnify and hold harmless RegSecured from any claims, damages, losses, or expenses arising out of your use of the Service, violation of these Terms, or infringement of any third-party rights.

11. Termination

11.1 Termination by You

You may terminate your account at any time by following the cancellation process in your account settings or contacting our support team.

11.2 Termination by Us

We may suspend or terminate your access to the Service immediately if you violate these Terms or for any other reason at our sole discretion.

11.3 Effect of Termination

Upon termination, your right to use the Service will cease immediately. We will provide you with a reasonable opportunity to export your Customer Data, after which it may be deleted from our systems.

12. Governing Law and Dispute Resolution

These Terms are governed by the laws of the State of New York, without regard to conflict of law principles. Any disputes arising out of or relating to these Terms or the Service shall be resolved through binding arbitration in accordance with the rules of the American Arbitration Association.

13. Changes to Terms

We may modify these Terms at any time by posting the updated Terms on our website. Material changes will be communicated to you via email or through the Service. Your continued use of the Service after such changes constitutes acceptance of the updated Terms.
